I still don't have any concrete an= swers as to when that might get resolved. I was hoping maybe somebody on the Board could help me out with that= .

= ; Mr. Pawlak: The reason I'd li= ke to address the Town Council is because of one of the items on the Agenda, whic= h is 8A, Consider Appointments to Boards and Commissions. One of my fellow commission member= s is up for re-nomination, Dave LeBlanc, his name was offered in nomination by t= he Democratic Town Committee and I would like to support his nomination and ur= ge that the Town Council act favorably in this question. I've served with Dave for at least= a year now, going on two years, I guess.&nbs= p; He would represent what I would consider the optimum of loyal opposition. He fulfills his r= ole and his job very adequately and as a matter of fact he serves to tweak the = nose of those of us on the Police Commission and the Town Council. He can be considered somewhat aggressive, sometimes abrasive, sometimes combative, as a matter of fact he= 's probably all of the above most of the time, but that's just the way he is a= nd he's good for the job. It's n= ot the prerogative of the Town Council, well it is the prerogative of the Town Cou= ncil to approve a nomination, I would urge that they do so and not reject it and appoint someone else which would in effect be an action which would be construed as packing the court. You should accede to the wishes, I believe, of the Democratic Town Committee. If you look back at the issues tha= t Dave has addressed during his time in office, you'll find that he has been right more often than not, most recently with respect to his position on the subj= ect of civilian complaints and the right of the Police Commission to review tho= se complaints. At the time he ra= ised that issue, he was told that the Union contract prohibited that; that has b= een seen to be not the case. He h= as raised issues and brought items and actions to the Freedom of Information Commission and won. Those of = us, I particularly like the way Dave works, but many do not, but that's too bad, that's his job, that's his right, and I would urge you to respect the right= of the Democratic Town Committee and act favorably on his nomination. If you do not, I would suggest tha= t it's a sinister form of censorship and I would urge you not to proceed down that slippery slope. Thank you.

Ms. Adams: Yea, it did say that.

Mr. Kane: It said we were supposed to vote o= n it?

Ms. Adams: Yea, it said it was on tonight.

Mr. Fusco: It said you were supposed to have = it on the Agenda.

Mr. Kane: The paper was wrong, I can't b= elieve that.

Mr. Fusco: Well they may have made a mistake = on it, but I just want to let you know that that project was supposed to have been done probably 15 years ago. B= ecause that line is there is only 8 inches, that they talk about, there is a line = that comes down the Turnpike that's 10 inches in diameter that empties into that= 8 inch line already, so it is underrated when they put it in years ago, so I would consider voting for that project.&nb= sp; As everybody knows later on you're going to get hit with it. It would have cost less money to d= o it at that time when they talked about it 15 years ago. Instead we're going to pay for it now. If it goes on further, i= t'll cost us more money down the road, so I urge you to consider doing the proje= ct.

= ; Mr. Kane: Two weeks ago, at t= he last Town Council meeting, we had Frank Jodaitis, the Superintendent of Water &a= mp; Sewer at our meeting and Tommy, the Reporter, does a very good job of stretching meetings over a couple week period of time so he can obviously f= ill in for the amount of papers that have to be published because we only meet every other week, so that's why that was in there, I'm sure, but this is something that we will address eventually.= It is something, you're right, that has been going on for many, many years. I believe it's at the subcommittee level. You guys = have discussed it at the Public Works Subcommittee.

Mr. Kane: Sure, please do.

Mr. Fusco: I've lived in that area for the la= st 40 years so I know the area very well and I know what went on with sewers, with water, with the land . . . . .

Mr. Kane: Right. I just wanted you to know that yes= , the article was in the paper, we were addressed by the Superintendent, but it's= not on tonight's Agenda.

Mr. Fusco: I'll have to go after Tommy.

Also our salt and sand is just abo= ut depleted and I guess Frank doesn't want us to run negative balances so you'= ll see an appropriation on it tonight. Hopefully we won't need anything else, but Winter is young.

= ; &n= bsp; I hereby tender my resignation as Chairman and member of the Economic Develop= ment Commission. I have been a mem= ber of the Commission since its inception over 20 years ago. As I look back we made some great strides over the years improving the quality of life for our Townspeople by virtue of some of the Commission's accomplishments. However, during the past year or s= o the Commission slipped into stagnation by virtue of inability to develop a viab= le direction and to assemble meaningful agendas. This situation ultimately resulted= in the cancellation of most of the year's meetings. These things occurred during my wa= tch and I accept the responsibility for not more forcibly pursuing alternate resolutions.

= ; &n= bsp; In retrospect I'm truly sorry that Chuck Frigon was not able to begin mentoring the Commission on a part time basis several years ago. As I recall during his tenure as I= nterim Town Manager a few years ago he was so very instrumental with Council and guidance and knew how to fire up the enthusiasm with the membership, but so= be it. Therefore I proceed that = the time has come for me to step aside in order that someone with new and fresh ideas can have the opportunity to serve on this important commission. I heart fully wish the Commission success with all future endeavors.

9. &nb= sp; Discussion And Possible Action Items

A. Discussion Regarding Bond Refinancing

&= nbsp; &nbs= p; Mr. Bernabe: I'm the financial advisor at Webst= er Bank. I've been working with = Frank Nardelli for a number of years. I just wanted to share some good news with you. The Town capitalized on the low in= terest rate environment to refinance previously issued bonds; bonds that were issu= ed in 1995, 1998, and 1999, and the Town saved over $538,000 by refinancing th= ose bonds. The bulk of those savi= ngs will be recaptured in 2006 and every little bit helps with your budget for = next year. A portion of those savi= ngs will have to be shared with the State of Connecticut, because the State is reimbursing on the school debt that you issued in those years. However the State, to mitigate that and to motivate you to refinance these bonds, will be paying = the bulk of your issuance costs. = Just like any other time when the Town borrows for a new school or a new Town Ha= ll, or whatever the case is, Frank has to do a rating review with Moody's Investment Services. As many = of you are aware the Town has an above average bond rating, a AA3 which allowed the Town to capitalize again on this low interest rate environment. It's very similar to refinancing y= our home mortgage in some ways, however in some other ways the technical term f= or this transaction was called an advance refinancing, meaning the bonds that = we refinance are not exactly refundable today, they're refundable in a couple = of years, so we set up what's called an escrow account or a savings account th= at actually will pay the debt service on those bonds until that date when they= 're callable, however the Town recoups the savings today, actually tomorrow is = when it closes. So congratulations= on the refinancing and congratulations to Frank who always does a great job wi= th the rating agencies. The Town= 's finances are really in strong shape. The Fund Balance has always been a positive, the tax collections are always strong, the Grand List is growing, your Grand List is well diversifi= ed between residential and commercial, so overall it's a very positive story.<= /p>

&nb= sp; Ms. Adams: Okay, so now you s= aid we've saved over $500,000, the bulk to be realized next year. Now what exactly does that mean? Does that mean the 2005/2006 budget year, that we're in the process of going in? If you can just give us a little m= ore detail.

= ; &n= bsp; Mr. Nardelli: If you look at Page 1 of the hando= ut, it actually has an analysis per year of the savings.

&nb= sp; Ms. Adams: I think it's impor= tant to put it on the record for the public, cause they could say they have $500= ,000 for next year's budget, and I think it's important that everybody understan= ds the exact breakdown here and just what exactly this means in which year, ju= st for the record so there's no confusion.

&nb= sp; Mr. Bernabe: Sure. It is in fiscal year 2005/2006, ro= ughly $450,000 of the $538,000 will be captured.= Nobody writes the Town a check, but what happens is the debt service= . . . . .

&nb= sp; Mr. Bernabe: Exactly.

&nb= sp; Mr. Nardelli: But we also, on= the revenue side, will see a decrease cause the State's portion has been reduced also, so there will be some level of reduction on the revenue coming in from the State because our expenditures are lower. And the other thing too, that Barr= y did mention, 95% of the issuance costs will be reimbursed by the State. I think the issuance costs are aro= und $80,000, well it's a $16,375,000 bond issue, so that's a very large bond issue. We'll have to set up a Special Meeting to appropriate the funds cause the State will send the Town= the check and then we'll have to re-appropriate that to pay all the closing cos= ts, but that was a big plus for us getting 95% reimbursed on the attorney's fee= s, Moody's rating fees, Webster's fees, all incorporated.

&nb= sp; Ms. Adams: I just think it's important that the public understands just what exactly the breakdown is, so maybe some sort of press release so the press will know and have the exact facts.

&nb= sp; Mr. Bernabe: Right, it absolu= tely is, I think positive news whenever you could do something to save the Town money. There is a small amoun= t of savings in every fiscal year. It's not as though we took that service and moved it to 10 years out and let the next administration worry about it. There's positive savings in every year, but the bulk of it is in the next fiscal year.

= ; &n= bsp; Mr. Nardelli: Yea, in this year, the current yea= r, we have a $7,138 savings in this current year, as you can see from that schedu= le.

&nb= sp; Ms. Adams: But that's not net though? That's not including = the amount that the State is going to give us back, the 95% of the refinancing costs? You know what I'm saying? What's the actual net= to the Town after and the less revenue coming in? These just look like gross savings= .

&nb= sp; Mr. Bernabe: You're right. These are gross savings. We won't really know what the actu= al net savings is until the State re-computes all its new grants over again.

= ; &n= bsp; Mr. Nardelli: But it's approximately 50% because= some of these issues there were water and sewer debt involved so the State doesn= 't come into play there, so roughly half of these savings will be, so if it's $538,000, approximately half of that will be a net savings to the Town. Like Barry said he has to resubmit= all the new schedules to the State for reimbursement. We also got about a 3.5% interest = rate because we're not going the whole 20 years because some of these bonds have already been paid down so it's a shorter time frame so we got a much lower = rate because of that.

&nb= sp; Mr. Bernabe: You're absolute right. It's a 15 year bond. We didn't extend the maturity, it'= s not like refinancing a 20 year mortgage with a 30 year mortgage. We kept the term the same. The cost to the Town for issuing t= hese 15 year bonds is 3.5, and the average price that was redeemed was close to = 5%, so you lowered your interest rate from 5% to roughly 3.5%.

&nb= sp; Ms. Adams: So as soon as poss= ible just get what the net savings was to the Town. I think that's very important for budgeting purposes.

= ; &n= bsp; Mr. Nardelli: Yea, as Barry said, we submitted the information to the State so we're just waiting for their re-calcs to come through.

= ; = ; Ms. Adams: Will it happen bef= ore June?

= ; &n= bsp; Mr. Bernabe: It might take awhile.

= ; = ; Mr. Nardelli: But it's just an approximate figure (inaudible) for that.&n= bsp; I want to thank Webster Bank too cause Barry was very involved with this. As you know the Council authorized this back in October to move forward to hit the market and fortunately we hit the market at the right time this time when the rates ca= me down so we were able to move quickly.

= ; &n= bsp; Discussion: Mr. Kane: There has been some concern about = the phrase other municipal purposes. I don't know if you want to banter this at all. I don't think it's a big deal to us whether it's in there or not. I know this was wordage that was put in by the bond counsel. In no way, shape, or form is this project meant for anything but passive and active recreation purposes. Typically this is put in here, as I mentioned in the Public Hearing, for things like restrooms, concession stan= ds, and other buildings that would support the land and the fields there, so I don't know if anyone has anything they want to address on that.

= ; &n= bsp; = ; &n= bsp; Ms. Adams: I think maybe Ray can probably add= ress this better, but my understanding is though on Litchfield Road there is a site set= aside that the Town owns for a firehouse or a substation.

= ; &n= bsp; = ; &n= bsp; Mr. Primini: It's a separate piece of property,= it's been purchased well over 20 years ago, so it will compliment each other nic= ely up there I think, but I think the other thing is that hasn't been mentioned yet, a lot of growth has been going up in that section of Town and that was predicted years ago when that property was set aside for a firehouse, so I think by purchasing this land and taking it off the market for future development, I don't know how many houses will fit on that lot, but I think it's probably one of the best things that we can accomplish some of our goa= ls to it. I know we all had goal= s like that, slowing down some of the development in this Town, so I think it̵= 7;s a good benefit for us.

&nb= sp; = &nb= sp; Ms. Adams: And the second par= t of that is if we go to the item before this one here, the proposals for architectural service for spatial needs for utilization of Heminway Park Sc= hool as a Town Hall facility, I think the Council is pretty much on the same page with proceeding with Heminway Park, so I don’t know what else we coul= d be looking at to use there.

That is general language to allow = the Town, as the Chairman has said, to put concession stands perhaps, or bathro= oms, or park maintenance facilities, that type of thing, you know equipment stor= age, what have you, so you know he said we could take it out. I would caution you, though, that = if you did take that out, to at least put on the record that your intent is to be = able to provide some of those appurtenances and amenities for the park on this property, so you're not building a school, a firehouse, or a Town Hall, but= you might just want a concession stand on that property, so I think as long as = the record is clear that should suffice and hopefully that would be acceptable = as well to the Planning and Zoning Commission.

= ; &n= bsp; = ; &n= bsp; The other thing I might add, too, is that since we're getting State funds for t= his, we are not at liberty to do whatever we'd like to do with the property. They're paying for well over half = of this property so there are strings attached to that. They have provided those funds for= open space purchase.

= T= he Town Council adopted the following Resolution:

= R= ESOLVED, that the ordinance adopted under Item 9F above be submitted to the electors= for approval or disapproval at referendum to be held on Tuesday, March 15, 2005, and shall be published in full within ten (10) days in a newspaper having circulation within the Town. = The Town Clerk shall publish notice of the referendum. The ballot heading shall read as follows:

Ms. Russ: I'm speaking tonight as the Chairp= erson of the Democratic Town Committee. I feel that the Republicans cannot stand anyone who is doing well for the Tow= n. I think you are wrong for not reappointing our nomination for Police Commission. This person is thinking of the saf= ety of the Town and the Townspeople. Every board and commission should be following the Charter as this person is brin= ging forward. The difference betwe= en the Democrat and Republican party is Democrats help people and work with them.<= span style=3D'mso-spacerun:yes'> Republicans do the wrong thing and= let department heads or individuals tell them what should be done. You do what they want not to create waves. My final statement ton= ight is what you do tonight is wrong because many years ago we had a gentlemen's agreement not to block either party's nominations, and tonight the Republic= ans violated that agreement. If y= ou think not appointing this person to the Police Commission will deter him, y= ou are definitely wrong, because I am sure he will pursue this on his own. It's sad that you can't be men abo= ut this and honor the party's nomination.

Mr. Stewart: I'm not sure I'm aware of any agre= ement myself. Maybe it was before m= y time of involvement, but I want to say that I don't think that a proposed commis= sion member in not appointing amounts to anything but doing the right thing. I don't think that this is a polit= ical matter at all. I think that t= here is enough people who felt that the right thing for the Town of Watertown was not = to have Mr. LeBlanc has a member of the Police Commission. I applaud the members that voted a= gainst the appointment of Dave LeBlanc.

Mr. Durso: Personally I get along with Dave L= eBlanc okay. We talk on the phone a = lot, personally there's nothing, however I disagree with a lot of his opinions, especially the power of the Police Commission. We have no power, under the new Ch= arter, sure it says we make the policy, but 99% of that policy is reserved under c= ourt order, union agreements, we really have no power, in fact we have no reason= to meet every month, we have to find things to do. The last year when Dave LeBlanc wa= s on the Commission he kept us busy with questions, F.O.I. complaints, otherwise= we could have cancelled most of the meetings.= The Police Department, I think, and I think most people in Watertown are sat= isfied with the Police Department the way it runs, the way it protects the Town. I don't believe in harassing membe= rs of the Police Department, going after people individually. We're not professionals and if Mr. LeBlanc or the Democrats want to make the Commission powerful, take over the Council, get a Charter revision and rewrite the Charter and make it like it= was before 1978, but this back stabbing and this petty baloney I hope it's over with now. That's all I had to say. Thank you.
