Mr. Kane: To those of you who are here, I apologize for the delay. Beca= use you are here you'll know that our discussion in the Finance Subcommittee ra= n a bit longer than we expected and it is germane to what this meeting is all about, so I appreciate your patience with the previous.

&= nbsp; Mr. Kane, Chairman, Reconvened the Special Meeting at 7:49 p.m.

&= nbsp; Mr. Kane: Thank you, everyone= , for that brief recess and for staying as long as you have. At the previous Finance Committee meeting just prior to this meeting, first of all I'd like to say thank you = to all the members for working together in conjunction on this particular nigh= t, and appreciate everyone participating and pulling together on this. What was discussed were additional= cuts of $200,000. From that there = is, on the revenue side of the ledger, $34,470 from the Community Service Fund from the Board of Education, bond premiums, as well as Taft. $75,000 would come from an increas= e in back charge to the haulers. That w= ould leave us with remaining cuts of $90,530, 70% of which would come from the B= oard of Education's side, which is $63,371, and 30% of that would come from the = Town municipal side, which is a cut of $27,159.= That is what was discussed. Unless there is any further discussion I would ask that the following motions be made so that we can set the ballot for the November 2, 2004 referendum. I'll open it up f= or discussion at this point; if not we can move on to the cut.

&= nbsp; Mr. Fisher: Can we discuss the 70/30 split? I'm just curious= as to what everybody else thinks.

&= nbsp; Mr. Kane: Sure, at the previous time we had = split the cut 50/50 between the Town and the Board of Ed. Councilman Rinaldi recommended tha= t it be shared 70%/30% based on the fact that 70% of his tax dollar goes to the Board of Education, and then in the Subcommittee level Mr. Valenti made the motion that it be shared that way, but it is definitely open to discussion.=

&= nbsp; Mr. Rinaldi: I want to make a comment, not so much about the 70/30 split, more about the cut, the dollar amount itself.

&= nbsp; Mr. Kane: Can we finish this discussion firs= t?

&= nbsp; Mr. Rinaldi: Yes.

&= nbsp; Mr. Fisher: I guess we're in a tough situation. It's just th= at like Rob you discussed before, that we're not really in control of some of = the salaries that, due to raises and such so then what are we looking at? If we take 70% away from, so $63,0= 00 from the Board of Ed, what will they be left with? That's what I'm thinking in my hea= d as I'm going over the numbers, but then again the voters, it looks like the vo= ters were more in favor of the Town budget than the Board of Ed budget, I guess,= by what I gathered from the vote.

&= nbsp; Mr. Kane: No, it's a legitimate question.

&= nbsp; Mr. Fisher: But it is tough, = but I have a problem personally with taking more money out of the Board of Ed. I don't know, should we go 50/50, = 60/40, the other way, I'm not sure I guess.

&= nbsp; Mr. Wick: I think the rationale behind a spl= it other than 50/50 is just that the Board of Education budget represents a mu= ch larger percentage of the total than the Town budget. In previous Councils where cuts ne= eded to be made, the ratio of 60/40 was used and I must admit I didn't do the ma= th then either, and I don't know what the exact ratio is, but if it is closer = to 70/30 then I think Paul Rinaldi's earlier comments make a lot of sense. If it's closer to 60/40, then mayb= e that should be considered, but I think the rationale is simply to share the cuts= in a pro rata fashion.

&= nbsp; Mr. Nardelli: If you take the total expendit= ures, it's 60% Board and 40% Town.

&= nbsp; Mr. Kane: So 60% of all tax dollars go to the Board of Ed.

&= nbsp; Mr. Rinaldi: Okay.

&= nbsp; Ms. Robson: Just keep in mind= that ours doesn't (inaudible).

&= nbsp; Mr. Kane: Well having Karl br= inging up what he has and what Frank says, would we like to make that change to 60= /40, or does everyone feel 70/30 is here to stay? Anyone else want to weigh in?

&= nbsp; Mr. Archer: Based on Paul's l= ine of thinking, 60/40 seems like an appropriate split.

&= nbsp; Mr. Kane: Well the way we have it it's 70/30= so, 60/40?

&= nbsp; Mr. Archer: Yes.

&= nbsp; Mr. Kane: It makes sense.

&= nbsp; Mr. Wick: If we go forward with that app= roach, and I apologize for repeating this concept again, but if we go forward with that approach, can we expect that this will be a unanimous position on the = part of the Council?

&= nbsp; Mr. Valenti: I'm not going to= speak for my colleagues, that's for sure.

&= nbsp; Mr. Wick: Well I think it's a very serous issue that we (inaudible) recommendation that we make to the Town asking th= em to approve a budget that is going to be an increase for almost everybody an= d I think we should be unanimous on that point.

&= nbsp; Mr. Rinaldi: I don't think th= at being unanimous is important. Most = of the people I deal with couldn't even tell you what the votes are here. I believe that they vote their conscience, whatever that means. The concern I have, and maybe everyone else can discuss it, I could = be wrong, but I think that the cuts we're proposing here may be viewed by a lo= t of people as nominal, a token, and it may make them angrier than they were bef= ore. I don't know, I could be wrong. I just think that we're running a risk. Now I know so= meone is going to say to me well what do you suggest? I don't know the answer. I haven't got the foggiest, but I = think we're going to run that risk and I think that we should all maybe look at t= his pretty seriously and decide where we're going with it.

&= nbsp; Mr. Kane: We look at everything very serious= ly, obviously, and I can understand that at first glance that view, but as Mr. = Archer has stated in the Finance Committee level and I agree, is the fact that the= re are certain services and needs and things we have to accomplish from a Town perspective to keep our quality of life and to keep this Town going forward. We continually hurt = or diminish our maintenance programs, our buildings, time and time again, and = it doesn't necessarily mean we would be fiscally responsible if we didn't look= at those things, and we may be irresponsible if we continue to not do those things, so I can understand that at first glance, and I'm sure there will b= e a number of people out there who will say that, but we've already made 3 major revisions to this budget, we've cut new employees, we've cut vehicles, we've done a lot, so I can understand that view at first glance, but if you look = in depth and went through it line by line, you'll see there are a lot of necessities that we have to keep providing for the Town.

&= nbsp; Mr. Rinaldi: Just another tho= ught - Not only this referendum coming up, but the last 3, we have never, I don't = plan anyway to work against this budget, I never have, we don’t write lett= ers to the paper, we don't lobby against this thing, I think whatever we do we = do here and we let it ride. Ther= e's no statement by our Town Committee, there is no negative stuff coming out of o= ur side either, so I would consider that a plus at this point, not a negative.=

&= nbsp; Mr. Primini: One of the concerns I have is I don’t think there's been enough reporting of what the mill rate would have been if it was equal, which I believe Frank said was 19.90. What I've been reading is all diff= erent figures, 17, 18, 19, I don't think there's been enough to educate people as= to what that actual figure was then, like I said it was 19.90. I would appreciate it if somehow t= hat could be put in the paper. The other thing I think we have to emphasize is the way the mill rate has been = cut, you're saving some on our cars, so it will basically balance out, but I'm concerned that the cuts we're getting into now, is I see with the schools w= e're going to charge our kids $150 to park, $110 for Pay For Play, so as a parent all I'm looking at it, it's just coming out of my other pocket, it's coming= out of my right pocket instead of my left pocket. I think this is the emphasis we ha= ve to start making.

&= nbsp; The other concern I heard in subcommittee talk about cutting maintenance. I think that is very dangerous. My experience from being on the Fi= re Department and the Public Works Subcommittee, because of the vehicle replacement progr= ams that we've had over the past several years we've been saving quite a bit of money, just for the fact that it's not going into maintenance. The Fire Department's maintenance = budget has been pretty equal. I thin= k it's been about $54,000 a year, I'm not sure of that figure, and so is Public Wo= rks, and by having that vehicle replacement we're not getting the big maintenance budgets like we did in the past. The trucks are more reliable, we're not getting into a big surplus of parts like we had to do at one time, so that's what we have to start emphasizing. We have to start looking at these trucks breaking down on an emergen= cy repair, it's like the boilers at Judson School with an emer= gency repair on a weekend, what that costs us. It's going to cost us more in the l= ong run. What do we do? Do we stop plowing the streets? Do we not roll the Fire Trucks to = a fire call? Then we start opening ourselves up to liability concerns for not providing those services.

&= nbsp; So I think we have to start emphasizing first of all what the mill rate would = be if it was an equal budget from last year, what it's costing us in the long run. It's just coming out of a different pocket and I have a concern about that. The same thing with the maintenance. I'm strongly encouraging not to cut anything in that maintenance cause what happens is i= t's just delaying it, we're only going to have to go to the General Fund to take the money out. We're just getting into dangerous = water when we start making these kinds of cuts.&= nbsp; I think we have to be very cautious and the public has to be made mo= re aware of where exactly these cuts are coming form. It's just robbing Peter to pay Pau= l.

&= nbsp; Mr. Kane: Thank you, you're exactly right. Before we continue this discussion, maybe we should, if you would, Ray, Item #4 is what we are on, if you would= put that Motion on the Table so we can then continue the discussion that we're having?

&= nbsp; Ms. Adams: I think Ray Primini brought up some good points, that your car taxes will go down, but I think = it's important also to emphasize that a lot of those items that were listed, tho= se are funded by users, water and sewer, Crestbrook, they're funded by the use= rs, not the general taxpayers, so maybe something, I know Meredith did a great article and maybe we can start emphasizing that, that it is not out of the individual taxpayer's, it's out of the users.

= Mr. Fisher: I don't have a problem with support= ing the budget tonight, but with this caveat.&= nbsp; I hope that when we look at what needs to be cut, that we leave off,= we don't even bring up cutting the hours of the Town workers. I think that's horrible. Well I shouldn't say a horrible id= ea, I don't want to criticize anybody for bringing it up, but I don't like that i= dea one bit and I would hope that if we pass this, if we came up with this numb= er, that we would be able to leave that alone and not bring it up again.

&= nbsp; Mr. Kane: Karl, I'm glad you brought that up. My intention= is to meet with the necessary people that I have to meet with in the Town to make= it clear that this budget needs to pass, and if it does not then we are going = to be looking at possible layoffs within the Town. I agree with you, we don't want to= cut anyone's hours, we don't want to take away jobs, but this budget has to pas= s because there is nowhere else to go but to possibly look at potential layoffs, so I= 'm glad you brought that up because it's very important that this budget passe= s.

= Ms. Robson: I just wanted to reiterate what Fr= ank mentioned earlier, that that $34,000 in revenue is not money that we've had. This is money that came = in last week, except for the $4,000 that came from Taft, and that was just assuming that we would get the same revenue we did in the prior fiscal year, so that= is money that just became available. I just want that to be clear.

&n= bsp;

&= nbsp; Mr. Valenti: I just hope, wel= l two things. I appreciate the newly found trust in my skills among my colleagues in the Council, I hope this ca= rries through to next November, but we'll see about that. #2, I do think, cause we've had so= me conversations about resolutions on binding arbitration and others, and I th= ink at some point, although it's probably, to use a colloquialism, spitting in = the wind, we also talk about a more equitable taxing structure and maybe a resolution in that regard, because I do believe that a lot of this problem, it's not just binding arbitration, it's not just this, but it's a whole multitude of issues that conspire against towns, where the Government rubber really meets the road and that includes the funding that we get from the Federal and State Government, and what is fair and equitable taxation inclu= ding income tax versus property taxation. I know that that is probably a hope that won't be met, but it's a di= scussion that should be had because I think it's really, really what is driving, alo= ng with arbitration and other issues, the problems that communities like ours face.

&= nbsp;           &nbs= p;            &= nbsp;         A referendum of electors and citizens qualified to vote in Town Meetings of t= he Town of Watertown<= /st1:City> will be held on Tuesday, November 2, 2004 between the hours of 6:00 a.m. and 8:00 p.m. to vote for the approval or disapproval of fiscal year 2004/2005 budgets. Voting will be at the following polling places:

  = ;            &n= bsp;            = ;         Mr. Rinaldi: I'm not so sure it's a good idea t= o do it on November 2nd. I know a = lot of people in Town and we know here from voting results that a lot of people go into the voting booth and vote on one side of the budget and forget the oth= er side. So on November 2nd when= there is about 15 things to vote on, half of them probably won't even get to the budget. I think it's a passio= nate issue, I think it should stand on its own day and let it go where it's goin= g to go. And I understand, I proba= bly agree with you, that the higher the turnout, the better likelihood of this thing passing, I'm not arguing that with you, I'm just wondering if it may = be too much, all on one day.

  = ;            &n= bsp;                 &= nbsp;   Mr. Kane: Well the way the budget refere= ndum would be viewed is at the very top of the ballot. Questions come before the electors, probably not the right word, we are the electorates, candidates, that's bet= ter, so the questions will come above, it will be the first thing that the voters will see. We are, at the same= time as Mr. Archer stated, saving the taxpayers $9,500 by doing it on this day.<= span style=3D'mso-spacerun:yes'> There will be people working polli= ng places, of course, and working that day I mean, so there will be information out there, there will be people, activity if you will, and also where we are right now, I think it gives us an opportunity to take advantage of that gre= ater turnout.

        &= nbsp;           &nbs= p;           &= nbsp;   Mr. Rinaldi: I know in the pa= st that those of us who have been around for awhile, Elaine would know, a lot = of people on national elections, and there have been questions in the past, st= ate questions, local questions, on the voting booth of a federal election, state election, and it's a fact, a lot of people just don't vote on the questions. You'll see it in t= he paper. 8,000 people voted and 500 on the questions. I'm just saying yo= u're running a risk, it may work, but . . . . .

= ;            &n= bsp;            = ;          Mr. Kane: Well to rebut that, again it's= like anything, when we looked at the 3 referendums that we had, I think we had 2= 5, 27 or 31, 32 and typically on a presidential election you have 80% voter turnout, so your numbers are there, just sheer numbers of people that turn = out are far greater.

  = ;                  &= nbsp;           &= nbsp;   Ms. Adams: I, too, have concerns about waiting= 2 months to put this out to referendum. I worry that what happens if it doesn’t pass? We then run into the situation of looking at a December referendum and at that point, when are we going to run out of cash and what happens when we do, if that fails also?

= ;            &n= bsp;            = ;          Mr. Nardelli: We did a cash flow projection and w= e'd have about $500,000 as of like January 1st, which means for the month of Ja= nuary we would run out of money. We= would have to do some Tax Anticipation Notes, which is basically a short term bon= ding situation to carry us through until we get a budget, so we would have to, i= f it happens to fail in November, we would have to start that process, cause I c= an't just go into the bond market on like a week's notice or something and have = to prepare official statements and what not to get ready for it.

=             &nb= sp;                  &= nbsp;   Ms. Adams: And what is the potential cost= on that?

        &= nbsp;           &nbs= p;            &= nbsp; Mr. Nardelli: It's not going = to cost much. It's full bonding because obviously it's not going to be a project per say, but then it's goi= ng to be short term borrowing. W= e'll have legal fees, financial (inaudible) fees, Moody's will have to do a rati= ng on it. It could cost us $20,000 = to $25,000 to get into the market.

  = ;            &n= bsp;                 &= nbsp;   Ms. Adams: Now would that effect, I know we ha= ve a lot of bonds we're going to be selling, would that have any effect on the r= ate we'll get?

  = ;            &n= bsp;                 &= nbsp;   Mr. Nardelli: No, Moody's shouldn't downgrade us because of the Tax Anticipation Note. Obviously if we do that a lot, it won't look good in the eyes of the financial institution, but I don't think we would get downgraded because of that one time.

  = ;            &n= bsp;                 &= nbsp;   Ms. Adams: I think in waiting the two months = also, I think everybody is kind of in a pause mode, we can't move forward, there = is nothing we can do, and I just have some major concerns about waiting for th= e 2 months.

        &= nbsp;           &nbs= p;           &= nbsp;   Mr. Valenti: As a hopeful fol= low up to what Elaine was asking Frank, that's not full bonding, the Tax Anticipat= ion Notes, but if we were to go that route, would it then make sense to contemp= late refinancing some of our prior debt, or is the rate environment such that it wouldn't make sense?

  = ;            &n= bsp;                 &= nbsp;   Mr. Nardelli: That's a good point. When I talked to our financial advi= ser this week he was looking into refinancing because he said, as you know, the long term rates are starting to come down again. The problem is we'd have to hit the market at the right time. It = takes us about 6 weeks to get to the market, and that's what happened the last ti= me, but we are looking into that.

  = ;            &n= bsp;                 &= nbsp;   Mr. Valenti: But my question being if hopefully = we don't get to this point, but say the budget, for whatever reason doesn't pa= ss, and then in fact we are engaged in Tax Anticipation Analysis, could we save some of the costs, or share or spread some of the costs at that time?

  = ;            &n= bsp;                 &= nbsp;   Mr. Nardelli: Yes, we could, we could do a refinancing and a Tax Anticipation Note, that's right, obviously if the mar= ket (inaudible).
